Bear Creek Quilt Guild

By-Laws

Article I. NAME

This organization shall be called the Bear Creek Quilt Guild.

Article II. PURPOSE

The purpose of this Guild is to preserve and encourage the art of quilting, provide instruction for its� members and education for the public, and to be a gathering for people with this common interest.

Article III. MEMBERSHIP

Membership is open to all persons interested in quilts and quilting.

Article IV. DUES

Sec.1. The payment of yearly dues shall be required at the January meeting.   Sec. 2. Dues for renewing members shall be the full amount of the annual dues regardless of the month of renewal.   Sec. 3. Dues for new members shall be prorated on a declining monthly basis.   Sec. 4. The amount of annual dues is to be determined, upon recommendation of the Executive Board, by a majority vote of the members present at a regular Guild meeting.   Sec. 5. The Membership Committee will invite visitors to join the Guild upon attendance of two Guild meetings. Article V. MEETINGS Sec. 1. The Guild shall meet on the third Tuesday of each month   Sec. 2. The Executive Board may change the date of any regular meeting when necessary. Article VI. OFFICERS
Sec. 1. The elected officers of the Guild shall be President, Vice-President, Second Vice President, Secretary and Treasurer.
Sec. 2. The officers shall be elected by a majority vote of the members present at November Guild Meeting, shall be installed at the December meeting, and Shall assume their duties at the January meeting.
Sec. 3. An officer shall be elected for a term of one year, and may succeed herself/himself for a maximum of two years.
Sec. 4. Duties of the officers:
A. The President shall call all Executive Committee and Executive Board meetings; shall preside at all Guild, Executive Committee and Executive Board meetings; shall appoint all Standing Committee and Audit Committee Chairs; shall serve as ex-officio member of all Standing Committees; and shall sign checks in the absence of the Treasurer.
B. The First Vice-President shall preside in the absence of/or at the request of the President at Guild, Executive Committee and Executive Board meetings; and shall serve as Chair of the Program Committee.
C. The Second Vice President shall preside as Quilt Show Chairperson and the term will be for the year before the Quilt Show, until the show is concluded.
D. The Secretary shall keep the records of the Guild, Executive Committee,and Board meetings; and shall conduct general correspondence of the Guild.
E. The Treasurer shall prepare the budget; shall make monthly and annual reports to the Guild.


Article VII. EXECUTIVE BOARD

Sec. 1. The Executive Board shall consist of four officers and a Past-President, and if needed, a Second Vice President for Quilt Show Chairperson . Sec. 2. The Executive Board shall meet at the request of the President. A vacancy occurring in any office shall be filled for the unexpired term by a person elected by a majority vote of the membership.


Article VIII. EXECUTIVE COMMITTEE

Sec. 1. The Executive Committee shall consist of four officers, a Past-President, and the Chairs of the Standing Committees, and if needed, a Second Vice President for Quilt Show Chairperson.
Sec. 2. All members of the Executive Committee will be deemed voting members at the Executive Board meetings.


Article IX. COMMITTEES

Sec. 1. The Standing Committees, which can be changed by a majority vote of the Executive Board, shall be: Bee Keeper, Care Bears, Community Service, Door Prizes, E-Mail, Historian, Hospitality, Librarian, Membership, Newsletter, Retreat/Outings, Property, Publicity, Quilt Show, Raffle Quilt, Secret Sisters, Show and Tell, Special Projects, Telephone, Web Mistress and Workshops.
Sec. 2. Special Committees shall be Parliamentary Procedures, By-Law, Nominating, and Audit
A. A Past-President shall serve as Parliamentarian and Chair of the By-Laws Committee.

B. The Nominating Committee shall consist of three members. The Chairman shall be from the Executive Board, appointed by the President. The remaining two shall be elected from the general membership by a majority vote of the members present at the September Guild meeting. The Committee shall nominate one eligible person for each office and present the slate at the October Guild meeting. Additional nominations, with the permission of the one nominated, may be made from the floor at the November meeting prior to the election.

C. The Audit Committee, appointed by the outgoing President in November, shall consist of three members of the Guild. The Committee shall report to the Guild at the December meeting prior to the installation of the officers.


Article X. AMENDMENTS

These By-Laws may be amended or revised, upon the recommendation of the Executive Board, by a two-thirds majority vote of the members present at a regular Guild meeting, providing notice of the proposed change has been made at the previous meeting or in the current newsletter.

Article XI. DISPOSITION OF FUNDS

In the event of the dissolution or disbanding of the Bear Creek Quilt Guild, any and all funds remaining in the treasury of the Bear Creek Quilt Guild will be turned over to another educational, tax-exempt quilt guild, or to a charitable organization. The recipient organization will be determined, upon the recommendation of the Executive Board, by a majority vote of the members present at a regular Guild meeting.

Policies


  1. Guests are welcome to attend two regular Guild meetings.
  2. Workshop and tour fees must be paid at regular Guild business meetings prior to the workshop. The fee is forfeited in case of absence. Participants may choose to sell their reservation in the workshop to another individual.
  3. Items ordered by the Guild for Guild members must be pre-paid.
  4. Non-member entries in the Guild quilt show will be charged a fee.
  5. A fine of $1.00 per item per month shall be levied against a member who is late returning library materials.
  6. The Guild may subsidize workshops.
  7. A Guild member who houses an out-of-town speaker will receive free workshops or will be compensated accordingly.
  8. A name tag is to be worn at meetings and stitch groups. The membership voted that name tags be uniform - the bear paw pattern. This pattern is at the end of this directory and is available at regular Guild meetings. A fine of 25 c will be charged to a Guild member who fails to wear a name tag. These monies will go into the library fund.
  9. Speakers who do not charge a fee may be paid a $50 honorarium for a program presentation.
  10. Due to the advanced scheduling of national teachers and speakers, the Program and Workshops Committees may schedule teachers and speakers beyond their term of office.
  11. Member instructed workshops - Guild members instructing workshops will be paid the first $50.00 of fees collected. Any additional proceeds will be divided equally between the instructor and the Guild. Fees for member taught workshops will be $10.00 per member. Non-members taking the workshop will be charged a $15.00 fee.

    Non-member instructed workshops - Most non-member instructors have a set fee and the Guild will charge a workshop fee based on their fee. Workshops will not be scheduled unless sufficient interest is shown to cover the instructor fee. Proceeds in excess of the fee charged will be used by the Guild for future member education.

  13. Guild members may attend one free workshop per year. The Executive Board will determine which workshop(s) will be free.
  14. There will be no commercial promotion at meetings by any member without prior approval of the Executive Board.
  15. All requested changes from present policies and / or set budget amounts for all committee and elected officers must be pre-approved by the executive board.
